These Terms of Service ("Terms") govern your use of InspectDesk ("the App"), developed and provided by Building Five Technologies Inc. ("Building Five", "we", "us", "our"). By downloading, installing, or using InspectDesk, you agree to be bound by these Terms. If you do not agree, do not use the App.
Building Five grants you a non-transferable, non-exclusive license to use InspectDesk on any Apple-branded devices that you own or control, subject to the Usage Rules established by Apple in the App Store Terms of Service. This license also covers any content, materials, or services accessible from or purchased within the App, as well as any updates we provide that replace or supplement the original application.
You may not distribute or make InspectDesk available over a network where it could be used by multiple devices simultaneously, except as subject to the Usage Rules. You may not transfer, redistribute, or sublicense the App. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App or any of its updates, except as permitted by applicable law or the licensing terms of any open-source components included with the App.
InspectDesk stores all inspection data locally on your device. This includes your inspection reports, photos, annotations, client information, templates, and any other content you create within the App. We do not collect, transmit, or store any of this data on our servers. Your data belongs to you, and Building Five claims no ownership or rights over it.
You are solely responsible for maintaining backups of your data. Building Five is not liable for any loss of data resulting from device failure, damage, loss, or any other cause.
We may collect anonymous technical data and related information — including technical information about your device, system software, and hardware — that is gathered periodically to facilitate software updates, product support, and other services related to the App. This information is collected in a form that does not personally identify you and may be used to improve our products or provide services to you. You understand this does not mean we collect your personal or business data such as inspection information, addresses, or contact data.
InspectDesk may provide access to third-party services, such as Apple Maps for navigation to inspection locations. Your use of any external services is at your sole risk. Building Five is not responsible for examining or evaluating the content or accuracy of any third-party services and shall not be liable for them.
You agree not to use any external services accessed through the App in any manner that is inconsistent with these Terms or that infringes the intellectual property rights of Building Five or any third party. We reserve the right to change, suspend, remove, or impose access restrictions on any external services at any time without notice or liability.
Building Five may from time to time release updates to InspectDesk, which may include bug fixes, new features, or other improvements. These Terms apply to all such updates unless an update is accompanied by separate terms. We are not obligated to provide any updates, maintenance, or support for the App.
These Terms are effective until terminated by you or by Building Five. Your rights under these Terms will terminate automatically if you fail to comply with any of their provisions. Upon termination, you must cease all use of InspectDesk and destroy any copies in your possession.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF INSPECTDESK IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ANY SERVICES PERFORMED OR PROVIDED BY THE APP ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. BUILDING FIVE HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP AND ANY SERVICES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY BUILDING FIVE OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY. SHOULD THE APP OR ITS SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL BUILDING FIVE BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE INSPECTDESK, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF BUILDING FIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL BUILDING FIVE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED FIFTY DOLLARS ($50.00).
You may not use or otherwise export or re-export InspectDesk except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. In particular, the App may not be exported or re-exported into any U.S.-embargoed countries or to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using InspectDesk, you represent and warrant that you are not located in any such country or on any such list.
The App and related documentation are "Commercial Items" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation" as used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. The App is licensed to U.S. Government end users only as Commercial Items and with only those rights as are granted to all other end users pursuant to these Terms.
The United Nations Convention on the International Sale of Goods is expressly excluded from application to these Terms. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The failure of Building Five to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
